REMKTOS – Remktos Terms of Service

1. Acceptance of the Terms

These Terms of Service (“Terms”) govern your access to and use of the Remktos platform and related services provided by REMKTOS (“REMKTOS”, “we”, “us”, or “our”).

By creating an account, accessing, or using Remktos (the “Service”), you agree to be bound by these Terms. If you do not agree, you must not use the Service.

2. Eligibility & Account

• You must be legally able to enter into a binding contract to use the Service.
• You represent and warrant that you are acting on behalf of a business (company, sole proprietor, or other organization), not as a private individual consumer for personal use.
• You are responsible for:
  • Maintaining the confidentiality of your login credentials.
  • All activities that occur under your account.
• You must notify us immediately if you believe your account has been compromised.

3. Description of the Service

Remktos is a marketing automation platform that:

• Collects information about your business that you provide (such as your website and business details).
• Accesses publicly available information on your website to understand your business.
• Generates marketing strategies and social media posts for your business.
• Allows you to connect an Instagram Business or Creator account so we can automatically publish posts on your behalf.
• Allows you to review, regenerate, edit, approve, and manage posts.
• Allows you to disconnect Instagram at any time.

We may update or modify features from time to time.

We do not guarantee any specific business or financial results from using the Service.

4. Use of Instagram and Other Integrations

Business Accounts Only

• You may link only Instagram Business or Creator accounts to the Service.
• You must not connect personal Instagram accounts.

Your Authorization

By connecting Instagram or other social media accounts, you authorize REMKTOS to:

• Create, schedule, and publish posts (including text, images, videos, and other content) on your behalf.
• Access and use limited information from those accounts as needed to provide the Service.

Restrictions on Use of Instagram Data

• We use the Instagram connection only to support your business marketing (e.g., posting content, basic performance insights).
• We do not access or manage your private messages (DMs).
• We do not intentionally collect followers' private information.

Compliance with Third-Party Terms

• You must comply with Instagram's and Meta's terms, policies, and guidelines, as well as those of any other integrated platform.
• REMKTOS is not responsible if Instagram or any other third party suspends or restricts your account or changes its APIs, features, or rules.

Disconnecting Instagram

• You may disconnect your Instagram account at any time within the Service or via Instagram/Meta settings.
• After disconnection, we will no longer be able to publish posts or access new data from that account.

5. Business Information & Website Content

By providing your company website and other business information, you:

• Authorize REMKTOS to access and analyze public content on your website to understand your business and build marketing strategies and posts.
• Represent and warrant that the information you provide is accurate, lawful, and that you have the right to use it for marketing purposes.
• You are solely responsible for ensuring that all descriptions, claims, and offers made in the content are truthful and compliant with applicable laws (e.g., advertising, consumer protection, sector-specific regulations).

6. User Content

“User Content” means any content that you or your team submit, upload, or otherwise provide to the Service, including:

• Business info, brand guidelines, and preferences.
• Text, images, and other materials you upload or approve.
• Edits and feedback to generated posts.

Ownership

• You retain all rights to your User Content.
• REMKTOS does not claim ownership of your User Content.

License to REMKTOS

You grant REMKTOS a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, translate, and display your User Content solely for the purpose of operating and improving the Service, including generating and publishing marketing materials on your behalf.

Your Responsibilities

You are responsible for User Content and you represent and warrant that:

• You have all necessary rights and permissions to use and provide the User Content.
• Your User Content does not infringe any third-party rights (including copyright, trademark, privacy, publicity) and does not violate any law.

REMKTOS may remove or disable access to User Content that we reasonably believe violates these Terms or applicable law.

7. Intellectual Property of REMKTOS

The Service, including its software, algorithms, templates, generated strategies, interface, and all intellectual property rights therein, are and remain the exclusive property of REMKTOS and its licensors.

Except for the limited rights expressly granted to you in these Terms, no rights are granted, and all rights are reserved.

You must not:

• Copy, modify, reverse engineer, decompile, or attempt to extract the source code of the Service.
• Use our trademarks, logos, or branding without prior written permission.

8. Plans, Fees & Payments (If Applicable)

If you subscribe to a paid plan or purchase any paid features:

• You agree to pay all applicable fees according to the pricing and billing terms presented to you at the time of subscription.
• Unless stated otherwise, all fees are non-refundable.
• We may change prices or billing terms, but will provide notice as required by applicable law. Continued use of the Service after changes take effect constitutes your acceptance of the new prices.
• If you fail to pay fees when due, we may suspend or terminate your access to the Service.

9. Data & Privacy

Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and protect personal data and other information.

By using the Service, you acknowledge that you have read and understood our Privacy Policy and agree to its terms.

10. Third-Party Tools & Analytics

We use third-party tools such as, but not limited to:

• Google Analytics
• Meta/Facebook Pixel
• Other marketing and analytics services

These tools help us understand usage of our website and Service, improve performance, and measure marketing results.

Third-party providers may place cookies or similar technologies. Their use of data is governed by their own terms and privacy policies.

We are not responsible for third-party services and do not control how they operate.

11. Prohibited Uses

You agree not to use the Service to:

• Violate any law, regulation, or third-party rights.
• Publish or promote illegal, fraudulent, deceptive, defamatory, or harmful content.
• Publish or promote content that is hateful, discriminatory, or incites violence.
• Send spam or other unsolicited communications in violation of applicable laws.
• Attempt to gain unauthorized access to the Service or related systems.
• Interfere with or disrupt the integrity or performance of the Service.
• Use the Service to build a competing product or to reverse engineer our systems.

We may suspend or terminate access if we reasonably believe you are violating this section.

12. Disclaimers

The Service is provided on an “AS IS” and “AS AVAILABLE” basis.

To the maximum extent permitted by law:

• We do not guarantee that the Service will be uninterrupted, error-free, or free from harmful components.
• We do not guarantee any specific marketing results, number of followers, engagement, conversions, or revenue.
• We are not responsible for decisions made by third-party platforms (such as Instagram/Meta) including suspensions, bans, algorithm changes, or feature removals.

You use the Service at your own risk.

13. Limitation of Liability

To the maximum extent permitted by law:

REMKTOS will not be liable for any:

• Indirect, incidental, special, consequential, or punitive damages.
• Loss of profits, revenue, data, business, or goodwill.

Our total aggregate liability arising out of or relating to the Service or these Terms will be limited to the greater of:

• The amount you have paid to REMKTOS for the Service in the three (3) months immediately preceding the event giving rise to the claim; or
• USD 100 (one hundred US dollars).

Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you.

14. Indemnification

You agree to indemnify, defend, and hold harmless REMKTOS and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Service.
• Your User Content.
• Your violation of these Terms or any applicable law.
• Your violation of any third-party rights (including intellectual property or privacy rights).

15. Termination

You may stop using the Service and/or close your account at any time.

We may suspend or terminate your access to the Service, with or without notice, if:

• You violate these Terms or applicable law.
• We are required to do so by law or by a third-party partner.
• We decide to discontinue the Service.

Upon termination:

• Your right to use the Service will end.
• Certain provisions that by their nature should survive (e.g., intellectual property, disclaimers, limitation of liability, indemnification) will remain in effect.

16. Changes to the Service and to These Terms

We may modify or discontinue any part of the Service at any time.

We may update these Terms occasionally. When we do, we will revise the “Last updated” date above and, where required, provide additional notice (for example, via email or in-app notification).

If you continue to use the Service after the updated Terms become effective, you agree to the new Terms. If you do not agree, you must stop using the Service.

17. Governing Law & Dispute Resolution

Unless otherwise required by mandatory law:

• These Terms and your use of the Service will be governed by the laws of Brazil, without regard to its conflict of law principles.
• Any dispute arising out of or relating to these Terms or the Service shall be submitted to the competent courts located in Brazil, and you consent to their jurisdiction.
